Terms of Service
1. Acceptance of Terms & Eligibility
By registering for, accessing, or using the Daclere SaaS CRM platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, partnership, or other legal entity, you represent and warrant that you possess the legal authority to bind such entity.
If you do not possess such legal authority or do not agree with every clause in these terms, you must not access or utilize the Service.
2. Description of Services & Workspaces
Daclere CRM provides an integrated cloud-based operating system designed for business communications, sales management, and autonomous customer relationship operations. The platform encompasses:
- Autonomous AI Voice Telephony: Inbound call answering, natural conversational response generation, calendar availability verification, and appointment booking powered by conversational models and voice synthesis.
- Omnichannel Unified Inbox: Aggregated messaging streams connecting WhatsApp Business Cloud API, Instagram Direct Messages, Facebook Messenger, 2-way SMS, and private SMTP mailboxes.
- Visual Kanban Sales Pipelines: Deal management, customizable stage workflows, deal probability scoring, revenue forecasting, and contact histories.
- Dual-Mode Appointment Booking: Real-time scheduling for physical in-person visits and virtual video conferences (Google Meet and Zoom integration).
- Marketing Automations & Broadcasts: Multi-mailbox cold email outreach, automated reminder sequences, and lead capture forms.
- Advertising Attribution Bridges: Real-time webhook ingestion and conversion tracking for Meta Marketing API (Lead Ads) and Google Ads API.
3. SaaS Multi-Tenancy & Tenant Isolation
Daclere CRM operates on an enterprise multi-tenant software architecture. Each company workspace is strictly partitioned via database tenant constraints. We guarantee that:
- No tenant user can access, query, view, or modify the contacts, leads, conversations, audio recordings, or operational settings of another tenant.
- Platform administrators (Levels 1 and 2) operate under auditable system logging and cannot view encrypted tenant communication secrets.
- Privilege escalation is prevented through our 9-level Role-Based Access Control (RBAC) hierarchy. Users may not grant themselves privileges beyond their tenant-authorized assignment.
4. Subscriptions, Fees & Billing
Trial Period: Daclere offers a free trial for qualifying new company registrations. The trial grants access to standard features without requiring an upfront credit card. Upon expiration, access to active calling agents and outbound broadcasts may be restricted unless a paid subscription plan is selected.
Subscription Tiers: Paid plans (Starter, Unlimited Growth, and SaaS Pro) are billed in advance on a recurring monthly or annual billing cycle. Annual subscriptions receive a pre-agreed discount. All fees are non-refundable once a billing cycle has commenced, except where mandated by local consumer laws.
Third-Party Carrier & Usage Fees: Direct carrier telephony charges (such as Twilio per-minute SIP fees, Meta WhatsApp conversation rates, or ElevenLabs per-minute voice consumption) are billed directly through your linked provider accounts or billed through metered usage credits where declared.
5. Acceptable Use Policy & Regulatory Compliance
You agree to use Daclere CRM in strict compliance with all applicable federal, state, and international laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the General Data Protection Regulation (GDPR), and local telecommunications recording consent statutes.
You explicitly agree NOT to use the platform to:
- Initiate automated unsolicited cold calls or robocalls to numbers listed on National Do Not Call registries without prior express written consent.
- Transmit spam, deceptive phishing emails, fraudulent loan inquiries, or illegal unsolicited promotional material.
- Harvest email addresses or phone numbers via unauthorized automated scraping.
- Impersonate any government agency, bank, emergency service, or healthcare official.
- Attempt to reverse-engineer, decompile, or bypass the multi-tenant security architecture or rate-limiting protocols of the Service.
6. Third-Party Integrations & Platform Terms
When connecting your external business assets to Daclere CRM, you agree to comply with all respective third-party provider agreements:
- Meta Platforms (Facebook, Instagram, WhatsApp): You agree to abide by the Meta Platform Terms, Developer Policies, and WhatsApp Business Messaging Policies. We strictly prohibit the use of our Meta integration for deceptive advertising or scraping.
- Google LLC: Connecting your Google Ads or Google Calendar accounts requires adherence to Google Ads Policies and Google API Services User Data Policies.
- ElevenLabs & Twilio: Synthetic voice generation must comply with ElevenLabs Ethics & Safety guidelines. You may not clone any human voice without verifiable written authorization.
7. Customer Data Ownership & Intellectual Property
Customer Data: As between you and Daclere, you retain 100% full ownership of all customer records, contact lists, sales deals, appointment notes, and proprietary communications uploaded to your workspace. Daclere claims no ownership over your Customer Data.
Platform Intellectual Property: Daclere CRM, its software codebase, algorithms, user interface designs, logos, and technical documentation remain the exclusive intellectual property of Daclere and its licensors.
8. Confidentiality & Vault Encryption
All sensitive API credentials, third-party authentication tokens, and SMTP mailbox passwords stored in your CRM settings are encrypted using AES-256-GCM authenticated encryption. Daclere team members do not possess access to plaintext credentials stored in encrypted vaults.
9. Disclaimers & Service Level Commitments
Daclere CRM strives to maintain a 99.9% platform availability uptime for all paid workspaces. However, except as explicitly set forth in an executed Enterprise SLA, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Daclere, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption, arising out of or related to your use of the Service.
In no event shall Daclere's total cumulative liability exceed the total fees paid by you to Daclere during the three (3) months immediately preceding the event giving rise to liability.
11. Term & Termination
You may terminate your workspace at any time through the CRM billing portal. Upon cancellation, your subscription will remain active until the conclusion of the paid billing period. Following termination, your account will enter a 30-day archival retention window during which you may request a complete export of your contact and conversation records.
